Agility Robotics clears SEC hurdle for Nasdaq listing as AGLT

The Churchill XI combination is set for a Nov 2 shareholder vote, with over $620M in expected proceeds.

Agility Robotics said on October 13 that the U.S. Securities and Exchange Commission has declared effective the joint Form S-4 registration statement covering its proposed combination with Churchill Capital Corp XI. Churchill XI has scheduled an extraordinary general meeting of shareholders for November 2, 2026 to vote on the deal, which is expected to close in November.

The transaction is expected to deliver more than $620 million in gross proceeds: roughly $424 million of cash held in Churchill XI's trust account, assuming no shareholder redemptions, plus about $200 million from a common-stock PIPE led by Foxconn with participation from existing and new institutional investors. Agility plans to use the funds to fill existing customer orders, expand commercial deployments, scale production of its Digit 5 humanoid and keep building out its integrated robotics, physical AI, software and safety platform.

The company describes Digit as the first multi-purpose, human-centric robot built for work and already commercially deployed, with earlier generations accumulating more than 65,000 hours of real-world operation across customers including Schaeffler, GXO and Toyota Motor Manufacturing Canada. The next-generation Digit 5, aimed at safe cooperative work near people, carries more than $300 million in committed orders subject to contractual milestones, with early access planned for early 2027.

2026 has been a setup year for the listing: Agility opened a hardware and physical AI hub in Fremont, California in July alongside its RoboFab plant in Salem, Oregon designed for up to 10,000 robots a year, deepened a safety partnership with FORT Robotics, was named launch partner for NVIDIA Halos, and named Merline Saintil, Derek Aberle and Pierre Gentin to its future public-company board.

If the deal closes, Agility says it would become the only U.S. publicly listed pure-play humanoid company with proven, active commercial deployments, trading on Nasdaq under the ticker AGLT. The combination still needs Churchill XI shareholder approval and other customary closing conditions.
